Haven Founders Club – Terms & Conditions Last Updated: October 2, 2025 By registering for the Haven Founders Club (“Founders Club”), you agree to these Terms & Conditions (“Terms”) with HAVEN HOLDING LLC (“Haven,” “we,” “us”). Please read carefully. 1) Program Overview The Founders Club is an early-access initiative for community members who help test and shape the Haven ecosystem. Benefits and rewards are action-based, conditional, and discretionary as described below. 2) Key Definitions TGE (Token Generation Event): The official event at which Haven Tokens are minted/issued. No token rewards are delivered before TGE. Qualifying Actions: Actions we set for eligibility (e.g., wallet feature testing, completing feedback/surveys, referrals, sharing/invites, social posts, protocol testing). The current list and completion criteria appear in the app, dashboard, emails, or official channels. Verified Founder Wallet: A Founder’s wallet address that (a) passed any required verification/KYC/AML checks, and (b) is marked as eligible in Haven systems. Campaign Terms: If a specific promotion (e.g., “First 1,000”) includes extra rules, those terms govern that promotion and prevail in case of conflict with these Terms. 3) Eligibility 3.1 You must be 18+ and legally permitted to participate in your jurisdiction. 3.2 One (1) account and one (1) Verified Founder Wallet per person. Multiple, automated, or fraudulent accounts are prohibited. 3.3 We may require identity/eligibility checks (including KYC/AML) before issuing certain rewards (e.g., USDT prizes) and to verify Founder status. 3.4 We may approve/decline any registration at our sole discretion and restrict participation where prohibited by law. 4) Qualifying Actions & Proof 4.1 All rewards and perks require completion of Qualifying Actions within the stated windows (shown in the dashboard/app or official communications). 4.2 Qualifying Actions may include (without limitation): Installing and testing Haven Wallet features; Reporting bugs/feedback via forms, surveys, or sessions; Sharing Haven content and inviting new users via approved referral links; Participating in beta/protocol/treasury testing and governance pilots. 4.3 We determine completion, quality, and validity (e.g., genuine referrals vs. self-referrals/bots). Proof may be requested (e.g., screenshots, on-chain activity). 4.4 We may update, add, or remove Qualifying Actions at any time. 5) Rewards & Perks 5.1 Sign-Up Package (subject to Qualifying Actions) First-Release Access to Haven Wallet (pre-public access window). 1,000 Haven Tokens per eligible Founder, issued only at TGE and subject to Section 6. Entry to a $5,000 USDT Draw (details in 5.4). 5.2 Founders Club Perks (task-gated; subject to verification) 100 Guaranteed DAO Votes (fixed per Verified Founder Wallet, regardless of token holdings; not transferable; may be delivered via off-chain or on-chain systems we select). Reduced Fees for Life (applies to the Verified Founder Wallet while the account remains in good standing and subject to fee schedules we publish). Action-to-Earn opportunities for additional Haven tokens. Free Access to Premium Features as they launch (scope may vary). Early Access to new blockchain tools & wallet features. Priority Onboarding to biometric recovery and duress signal tools. Exclusive Founders Badge in the Haven wallet. Two-Tier Referral Rewards (anti-spam and quality rules apply). Direct Input into product development (surveys, interviews, betas). Private Feedback Sessions with the Haven team (limited capacity). Invitations to exclusive community events & AMAs. Early Recognition in governance pilots, protocol testing & treasury votes. Beta Testing opportunities before public rollouts. Important: All perks are discretionary, may be capacity-limited, may require additional verification, and may be changed, suspended, or withdrawn by Haven at any time. 5.3 Transferability & Taxes Rewards and perks are personal, non-transferable, and not redeemable for cash. You are responsible for any taxes arising from rewards. 5.4 $5,000 USDT Draw Entry requires completing the specified Qualifying Actions within the posted window. One (1) winner selected at random from eligible entries; odds depend on number of eligible entries. We may require identity/eligibility checks prior to prize issuance. Where USDT/prize delivery is not lawful or feasible, we may substitute an alternative of equal or lesser value or void the prize. Prize is typically delivered to the Verified Founder Wallet within a reasonable time after winner verification; gas/network fees may apply. If the winner does not respond or fails verification within the stated timeframe, the prize may be forfeited and an alternate winner selected. 6) Token Issuance, Utility & Risks 6.1 No Token Before TGE. Haven Tokens are issued, if at all, only upon TGE. If TGE does not occur, no token rewards will be delivered. 6.2 Tokens are intended as utility tokens for use within the Haven ecosystem. They are not equity, debt, or any ownership interest in Haven and are not a promise of profits. 6.3 Token allocations, networks, vesting (if any), claim mechanics, and delivery timelines are set by Haven and may change for legal, technical, or business reasons. 6.4 Market Risk: Token values (if traded/listed) may be volatile and are not guaranteed. Haven does not provide investment advice and does not guarantee liquidity, price, or appreciation. 6.5 Gas/Fees: Claiming or receiving tokens may require you to pay network fees. 7) Conduct & Fair Use 7.1 Be respectful and constructive. No harassing, spamming, market manipulation, self-referrals, or deceptive activity. 7.2 We may suspend or terminate participation and void rewards for: fraud, abuse, policy violations, creating multiple accounts, or any activity that undermines program integrity. 8) Intellectual Property & Feedback 8.1 Haven owns all platform features, content, branding, and beta materials. 8.2 You grant Haven a worldwide, perpetual, royalty-free license to use feedback, suggestions, and submissions without compensation. 9) Data & Privacy 9.1 We collect and store the email you submit and program-related engagement metrics; some activities may involve on-chain data tied to your wallet. 9.2 We process data in line with our Privacy Policy and applicable laws (including GDPR, where applicable). Aggregated/anonymous analytics may be used to improve Haven. 10) Program Changes & Termination 10.1 We may modify, pause, or discontinue the Founders Club or any perk/reward at any time. 10.2 We may adjust reward tiers, qualifying actions, eligibility, and timelines. 10.3 Upon termination, no further rewards will be issued; pending/undelivered rewards may be voided at Haven’s discretion. 11) Legal & Compliance 11.1 Participation does not create employment, agency, partnership, or financial advisory relationships. 11.2 You are responsible for ensuring participation is lawful in your jurisdiction. We may geo-restrict or exclude jurisdictions to comply with law. 11.3 Where required by law/regulators, we may impose KYC/AML or other checks prior to issuing rewards, tokens, or prizes. 11.4 Nothing herein constitutes an offer to sell or solicitation to buy securities. 11.5 Force Majeure: We are not liable for delays/failures caused by events beyond our reasonable control (e.g., network outages, regulatory changes, exploits). 12) Liability To the maximum extent permitted by law, Haven and its affiliates are not liable for indirect, incidental, special, or consequential losses, or for losses arising from participation, wallet usage, token holding, network failures, exploits, regulatory actions, or events beyond our control. Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law. 13) Governing Law & Disputes These Terms are governed by the laws applicable to HAVEN HOLDING LLC’s place of organization, without regard to conflict-of-laws rules.
